General Overview

Jennifer Salisbury concentrates her practice in commercial litigation and the enforcement of creditors’ rights in bankruptcy and insolvency proceedings. Jennifer has represented secured creditors, unsecured creditors, official committees, and trustees in all aspects of bankruptcy, including relief from stay proceedings, cash collateral disputes, plan negotiations, and avoidance actions. Jennifer also represents lenders in all aspects of state collection proceedings, including foreclosures and replevins.

Representative Transactions/Representative Cases

  • In re Geneva Steel, LLC - represented chapter 11 trustee in the prosecution of breach of fiduciary duty, breach of contract, fraudulent transfer and equitable subordination claims with several adversary proceedings against former insiders of the company that resulted in multi-million dollar recoveries to the unsecured creditors of the estate

  • In re VCSP, Inc. - represented secured creditor in successful defense of debtor’s motion to designate creditor’s vote for plan of reorganization as well as defense of several adversary proceedings

  • In re Potter - represented funeral home sued by chapter 7 trustee to avoid payment of debtor’s funeral expenses and obtained favorable judgment after trial that the trustee take nothing

  • In re Centrix Financial LLC - represented creditor in successful motion to transfer venue of bankruptcy case from Nevada to Colorado

  • In re Ameriserve Food Distribution, Inc - represented post-confirmation trustee in connection with claims related to pre-petition acquisition of competitor

  • In re Sterling Pulp Chemicals US, Inc. - represented indenture trustee of $295 million secured bond issuance in connection with contesting DIP financing that primed lien securing bonds, including appeal of priming order to district court and Fifth Circuit. Assisted in negotiations of favorable plan treatment that resolved challenge by creditors’ committee to validity of bondholders’ liens

  • Jeffrey H. Mims, Chapter 7 Trustee of VarTec Telecom, Inc. et al. v Rural Telephone Finance Cooperative - represented chapter 7 trustee in prosecution of fraudulent transfer action to avoid upstream asset pledges and guarantees and prosecution of complex preference actions, claim for deepening insolvency, and equitable subordination claims

  • In re Moss - represented unsecured creditor in successful prosecution of involuntary bankruptcy petition and non-dischargeability action against debtor

  • Represented participant lender in obtaining dismissal of all tort and contract claims asserted by borrower in state court in Mesa and El Paso Counties

  • Represented secured lender in state court in Jefferson County in successful resolution of replevin and breach of contract case with respect to equipment

  • Represented national bank as secured lender in sale of debtor’s business worth millions of dollars

  • Represented national bank in trial in federal court in which jury assessed no liability against bank for alleged violations of plaintiff’s civil rights

  • Represented chapter 7 trustee in Texas state court jury trial to recover multi-million dollar fraudulent transfer

  • Acted as in-house counsel to telecommunications company. Representation involved all aspects of the company’s business, including all contract negotiations and various corporate governance matters
